It’s fairly obvious that nominating a new director must be done by following the law. However, you also have to make sure that you follow any rules laid out in the by-laws of your company! In particular, it’s very common that companies define a specific set of rules when associates want to transfer their shares!

Change the by-laws of the company

Generally, the name of the director of a company is written in its by-laws. As a result, if you want to change directors, you’ll have to modify the by-laws as well.

This procedure can be quite costly and time-consuming though. As such, it’s probably a good idea to take this opportunity to do any necessary change in the company at the same time.
