Which documents do I need to provide to set up a company?

Due diligence documents for company formation:


Individuals shareholders companies :

  • Passport copy or ID proof for the legal representative and all shareholders

 

Subsidiaries :

  • Parent Company registration certificate and articles / by laws if applicable
  • Passport copy or ID proof for the legal representative

 

Branches :

  • Parent Company registration certificate and articles / by laws if applicable AND Translation in French certified by the legal representative
    (Apostilled are also requested by the Chamber of Commerce in some instances. This is not known before the dossier is submitted)
  • Passport copy or ID proof for the legal representative
    All documents must be provided in original copies and not scanned/email

 

Key things to remember :

  • There are no restrictions of residency or nationality for legal representatives and shareholders.
  • Notarized documents are not necessary in all cases.
  • Scan/email will suffice in most cases except for branches and liaison offices which require original documents and/or apostilles
  • 2 different IDs may be requested in some cases.
